INTRODUCTION
By using KDRide, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. If you do in any way disagree, kindly discontinue the use of this Application.

The term "us", “our” or "we" refers to the owner of the KDRide app, KD Transport Limited, a Private limited liability company, founded in the Federal Republic of Nigeria (Company Registration Number 7691837), whose place of business is at No 12, Eneka First Market, PortHarcourt, Rivers State, Nigeria

In order to use the KDRide app, you must agree to the terms and conditions that are set out below:

1. Services
1.1 KDRide provides the following services;

a. Ride-Hailing Services: Our ride-hailing services connect users to drivers. We do not provide transport services. Transport services are provided by drivers under a contract (with you) for the carriage of passengers. Drivers provide transport services on an independent basis (either in person or via a company) as economic and professional service providers. Disputes arising from consumer rights, legal obligations, or from the law applicable to the provision of transport services will be resolved between the passengers and drivers. Data regarding the drivers and their transport service is available in the KDRide app, and receipts for journeys are sent to the email address listed in the passenger's profile.
Charges will be inclusive of applicable taxes where required by law. Charges may include other applicable fees, tolls, and/or surcharges, including a booking fee and airport surcharges.

b. Delivery Services: Our delivery services connect users to riders for the transportation of goods from the place of storage or production to the end user or customer. We do not provide delivery services. Riders provide delivery services on an independent basis as professional service providers. Disputes shall be resolved between users and riders, except where mandated by law to be liable. Charges will be inclusive of applicable taxes where required by law.
We do not consent to the delivery of prohibited items, which include, but are not limited to, firearms, illegal drugs, explosives, and hazardous materials.

c. Virtual Top-Up Services, including airtime and data top-up, utility bill payments, bulk
SMS and cable subscriptions.

Our goal is to offer a seamless and reliable platform that caters to all your mobility, logistics, and digital needs.

2. Eligibility
2.1 You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using our services, you confirm that all registration information you submit is accurate and truthful.

3. KDRide in-App Wallet
3.1 You must be a Nigerian citizen or a legal resident, at least 18 years old, and have a Nigerian bank account to access this service. To fund your wallet, you need to link your BVN to KDRide to get your unique KDRide account number, then log into your banking app and fund your KDRide account using the number generated on our app.

3.2 You can pay for your airtime, data, utility, bulk SMS, and cable subscriptions from the funds in your KDRide wallet. You can also pay for the transport services and delivery services from your wallet, but these payments would require prior activation in the KDRide app. By providing KDRide in-app wallet service, KDRide acts as a commercial agent for the providers of the transport and delivery services. You are responsible for ensuring that the payment takes place by ensuring that sufficient funds are available in your wallet at all times.

3.3 When you choose to make payments by KDRide in-app wallet, KDRide debits your wallet and forwards money to the driver or rider, as the case may be. KDRide may ask for additional data from you to verify the payment method.

3.4 When making payments by KDRide in-app Wallet for any of our services, KDRide is not responsible for possible third-party payment costs (mobile operators, bank fees, etc). These service providers may charge you additional fees when processing payments in connection with the KDRide in-app Wallet. KDRide is not responsible for any such fees and disclaims all liability in this regard. Your payment method may also be subject to additional terms and conditions imposed by the applicable third-party payment service provider; please review these terms and conditions before using your payment method.

3.5 KDRide will be responsible for the functioning of the KDRide in-app Wallet and provide support in resolving problems. The resolution of disputes related to KDRide in-app Wallet also takes place through us. For payment support service, please contact: support@kdrideofficial.com

4. Ordering and cancelling transport services
4.1 If you order a transport service and the driver has agreed to undertake the work, then the transport service is considered to be ordered.

4.2 Once a driver confirms that he/she will complete your journey, you will enter into a separate agreement with the driver for the provision of the journey on such terms and conditions as you agree with the driver. KDRide does not provide journeys and is not a party to your agreement with the relevant driver.

4.3 Cancelling the use of an ordered transport service is considered to be the situation where the driver has replied to your request and you subsequently reject, cancel, or refuse the transport service. When a transport service request is cancelled after a certain time period, you are required
to pay a cancellation fee.

4.4 If you cancel a transport service request on multiple successive instances within 24 hours, we may temporarily block your account as a warning. After multiple such warnings, we may suspend your account for a longer period (e.g. 3 months). After that period, you could ask to reactivate
Your account and your application will be reviewed by KDRide.

4.5 When the driver notifies the passenger about the arrival of the vehicle to its destination, and the passenger or people for whom the transport was ordered do not arrive at the vehicle within a certain period as specified in the KDRide app, the request will be deemed cancelled. Sometimes driver may decide to cancel your request, Please note that KDRide is not responsible for such situations.

4.6 Once the driver arrives and sends you a notification that he/she has arrived, the KDRide app may begin charging fare on a waiting time basis according to the rates specified in the KDRide
app.

4.7 If you have requested transport services using the KDRide app and cause damage to the driver's vehicle or its furnishings (among else, by blemishing or staining the vehicle or causing the vehicle to smell), the driver will have the right to require compensation for any damages. If you do not compensate for the damage, KDRide may pursue the claims on behalf of the provider of the transport service.

5. Ordering and cancelling delivery services
5.1 You must provide accurate and complete pick-up and drop-off information to request delivery. The sender is responsible for securely packaging the item and declaring its nature and value where applicable. Once a request is made and a rider accepts such request, you will receive real-time updates and the estimated delivery time. Deliveries are, however, subject to the availability of riders and applicable traffic or environmental conditions.

5.2 You may cancel a delivery request before it is assigned to a rider at no charge. If the delivery has already been assigned, cancellation will attract a cancellation fee. If the rider has picked up the package, cancellation is no longer possible, and you will be charged in full. 5.3 If a delivery fails due to a verified fault on our part (e.g., rider error, system malfunction), we may offer a partial refund. No refunds will be issued for incorrect delivery addresses or items prohibited by law. Disputes must be reported within 24 hours of the scheduled delivery time for
refund consideration.

6. Ordering and cancelling VTU services
6.1 You can purchase airtime, data, cable subscriptions, utility bills, and other virtual services using your wallet balance or other approved payment methods. You are solely responsible for verifying recipient phone numbers, meter numbers, smart card numbers, and other account
Details before confirming any transaction.

6.2 All VTU transactions are processed instantly and are non-reversible once confirmed by you. We do not accept responsibility for failed transactions due to incorrect input of recipient details, insufficient wallet balance, or service downtime by telecom, power, or billing providers. Due to the automated and real-time nature of VTU services, cancellation is not possible after a transaction has been initiated. Please review your details carefully before completing any
transaction.

6.3 Refunds will only be granted if the transaction failed due to a system error on our end. The request for a refund must be submitted within 48 hours with proof of payment and transaction ID. Refund, if approved, will be processed within 7 – 14 business days.

7. License to use the KDRide app
7.1 As long as you comply with these General Terms and Conditions, we agree to grant you a royalty-free, revocable, non-exclusive right to access and use the KDRide app in accordance with these General Terms and Conditions, the Privacy Notice, and the applicable app-store terms. You may not transfer or sublicense this right to use the KDRide app. In the event that your right to use the KDRide app is cancelled, the corresponding non-exclusive license will also be cancelled.

8. Liability
8.1 For our ride-hailing and delivery services, the KDRide app acts as an information provider (a means of communication) between passengers and drivers/riders. We cannot guarantee or take any responsibility for the quality or the absence of defects in the provision of transport and delivery services. As the usage of the KDRide app for requesting transport and delivery services depends on the behavior of the drivers and riders, KDRide does not guarantee that you will always have offers available for the provision of transport and delivery services.

8.2 The KDRide app does not offer or broker transport services for passengers. It is also not a transport agency service for finding passengers for transport providers. The KDRide app is used as the means for organizing the provision of transport, delivery, and virtual top-up services.

8.3 The KDRide app is provided on an "as is" and "as available" basis. KDRide does not represent, warrant, or guarantee that access to the KDRide app will be uninterrupted or error-free. In case of any faults in the software, we will endeavor to correct them as soon as possible, but please keep in mind that the functioning of the app may be restricted due to occasional technical errors and we are not able to guarantee that the app will function at all times, for example a public emergency may result in a service interruption.

8.4 KDRide, its representatives, directors and employees are not liable for any loss or damage that you may incur as a result of using KDRide app or relying on, the journey contracted for through the KDRide app, including but not limited to: any direct or indirect property damage or monetary loss; loss of profit, loss of business, contracts, contacts, goodwill, reputation and any loss that may arise from interruption of the business; loss or inaccuracy of data; and any other type of loss or damage.

8.5 The financial liability of KDRide in connection with a breach of the contract will be limited to 250,000 naira. You will have the right to claim damages only if KDRide has deliberately violated the contract. KDRide will not be liable for the actions or inactions of the driver/rider and will not be liable for damages that the driver/rider causes to the passengers/users.

8.6 You agree to fully indemnify and hold KDRide, their affiliate companies, representatives, employees and directors harmless from any claims or losses (including liabilities, damages, costs and expenses of any nature) that they suffer as a result of your use of the KDRide app (including The journeys you obtain through your use of the KDRide app.

8.7 KDRide may immediately end your use of the KDRide app if you breach these General Terms and Conditions, or we consider it necessary to protect the integrity of KDRide or the safety of drivers.

9. Good practice using the KDRide app
9.1 As KDRide is not a provider or broker of the transport services, any issues with defects or the quality of the transport services will be resolved in accordance with the rules and regulations of the transport service provider or the relevant public authority.

9.2 We ask you to fill out a feedback form in the KDRide app. This enables us to offer suggestions to the drivers/riders for improving the quality of their service.

9.3 We expect that you use the KDRide app in good faith and be respectful of the drivers/riders who offer their services through the KDRide app. KDRide retains the right to close your account if you have violated the terms set out in these General Terms and Conditions or if your activities are malicious, i.e. Withholding payment for the provision of the transport and delivery services, fraud, being disrespectful towards the drivers/riders, etc. In these cases, your KDRide app account may be revoked without prior notice.

9.4 KDRide will make every effort to ensure that only drivers/riders who have integrity and are respectful of their profession and users use the KDRide app. However, we are in no position to guarantee that every provider of transport and delivery services, located by the KDRide app, satisfies the aforementioned criteria at all times. If you experience objectionable transport or delivery service, please notify the company responsible for the service, a supervisory authority, or our customer support.

9.5 To ensure the safety of the KDRide platform for all users, KDRide may ask the driver/rider to verify their identity. If KDRide is able to verify the identity of the driver/rider, the KDRide Service may be suspended for the driver/rider until the verification process is completed.

10. Amendments to the General Terms and Conditions
10.1 If any substantial amendments are made to the General Terms and Conditions, then you will be notified by e-mail or KDRide app notifications. If you continue using the KDRide app, you will be deemed to accept the amendments.

11. Final Provisions
11.1 These terms and conditions serve as the entire agreement between you and KDRide with respect to the service rendered. In the event that any of the provisions of these terms is found to be unenforceable, the parties will substitute for the affected provision an enforceable provision that approximates the intent and economic effect of the affected provision. Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
